This Corporate Counsel role is responsible for:
Advising and providing hands-on legal services a dedicated client business team on the legal aspects of marketing, advertising, and selling consumer products and services globally; Drafting and negotiating commercial agreements, corporate governance, employee training, and business risk and process management in assigned geographies and/or for assigned business units; and Supporting special projects on an “as needed” or “as assigned” basis to provide general legal support to the Company’s business at large in matters beyond the Counsel’s designated areas of responsibility. Examples could include: mergers & acquisitions, internal investigations, responding to regulator inquiries.
In addition, the Corporate Counsel may be responsible for:
- Identifying and analyzing legal issues and developing and effectively communicating sound, understandable legal and business recommendations to the appropriate business managers.
- Participating in a collaborative manner in cross-functional business teams to identify, evaluate, and resolve complex business issues.
- Ensuring compliance with applicable legal requirements and company policies.
- Preparing various corporate governance documents, such as resolutions and proxies.
- Working with business teams to create corporate policies, forms, and procedures.
- Working with counsel outside the United States to determine applicable legal and regulatory issues and creating appropriate solutions.
- Managing litigation matters as they arise in the assigned business areas.
- Developing and teaching in-house seminars to clients relating to various corporate and transactional issues.
REQUIRED EXPERIENCE YOU’LL BRING
- JD degree and admitted to practice law in a US state and of good standing along with
- Minimum 12 years of legal practice in a large law firm and/or as in-house counsel
PREFERRED EXPERIENCES AND SKILLS
- Outstanding analytical, consulting, drafting and negotiation skills with the ability to make well-reasoned legal and business judgments.
- Excellent oral and written communication skills, with the ability to succinctly and positively influence others.
- Proven ability to deal tactfully and confidently with a variety of personal styles across a large number of diverse international internal and external groups.
- Proven ability to prioritize and manage projects or requests from several client groups.
- Strong leadership skills with a “results-oriented” mentality.
- A confident, positive, collaborative and assertive personality conducive to effective and harmonious interactions, both with other attorneys and with the Company's technical and business personnel.
- Willingness to learn new areas of law, acquire new skills, and take on additional and/or new responsibilities within the Law Department on an “as needed” basis
